Important Notice of Proposed Resolutions
for 2023 AGM
Dear Members,
As the Board of Westgate Health Co-Operative Ltd (WHC) has communicated in recent years, the financial sustainability of our service model in a post-Covid-19 environment has continued to be challenging. Despite changes to mixed-billing implemented 12 months ago and exhausting all available options since, regrettably, WHC is no longer financially viable.
The Board recognises its fiduciary duty and is putting forward Resolutions at this year’s AGM to you, our Members, to transfer the operations of WHC to a suitable ongoing provider. This will provide the next best opportunity for our members, doctors and staff to have continuity of care and employment with a like-minded local medical service, should that opportunity be possible. This will also allow for separate asset sale and thoughtful allocation of WHC Charitable Funds per our founding ethos, and before these remaining assets are reduced to zero.

The Board recognises the significance of this notification; WHC has had a physical presence and been part of our Community for more than 40 years. By no means do we want to be in this position yet it is our responsibility in the face of continuing losses to take action before WHC is insolvent. It is with great sadness that the Board unanimously endorses these Resolutions and recommends member approval at the AGM on Thursday 23rd November 2023.
